As Senior Counsel with Petersen Landis, Shana is a corporate and securities attorney with extensive experience in representing companies in business deals as well as internal corporate law and governance. She assists public and private companies in the structuring, negotiation and consummation of agreements for M&A matters in a variety of industries. Shana has represented clients in numerous securities matters, including drafting periodic reports and SEC filings, proxy statement and annual shareholder meeting materials, materials for Board of Directors and Committees, private offering documents, registration statements and share exchange agreements. In addition, she advises clients on compliance with securities rules and regulations provided by, among other things, Sarbanes-Oxley, applicable listing standards and Blue Sky laws.
Shana graduated with honors from the University of San Diego with a B.B.A. in Business Administration, Finance emphasis, and received her Juris Doctor from the University of San Diego School of Law. While in law school, Shana participated in the Women’s Law Caucus and Pro-Bono Legal Clinic Domestic Violence Unit and acted as Secretary for the Tax Law Society. She was a semi-finalist in both the Alumni Moot Court Tort Competition and the Phillip C. Jessup International Law Competition. She also attended the Institute on International and Comparative Law in Florence, Italy and the University of Pennsylvania Wharton School in a program focused on Entrepreneurship.
In addition to her legal career, Shana also founded a nonprofit organization focused on advancing the humane interests of animals including rescue and adoption activities, abused and/or neglected animal advocacy, animal rehabilitation, animal care and training, as well as nonprofit fundraising. Shana has a special place in her heart for all the animals, but especially her Rottweilers.
Shana also serves as a member of the Board of Directors of NoSilence NoViolence, a 501(c)(3) nonprofit corporation focused on creating awareness and providing resources pertaining to domestic violence and related trauma.
